TERMS OF USE

(Customer Terms and Conditions)

These Terms of Use ("Terms") govern access to and use of the Jawaez mobile and/or web application (the "App") operated by Jawaez SAL, a company incorporated under the laws of the Republic of Lebanon, with its registered office at [address] ("Jawaez", "we", "us"). By creating an account, clicking "I Agree", or otherwise using the App, you ("Customer", "you") confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not create an account or use the App.

1. ACCEPTANCE AND ELIGIBILITY

1.1 Acceptance. These Terms form a binding agreement between you and Jawaez. You accept these Terms by (i) checking the "I Agree" box or equivalent acceptance mechanism during registration, or (ii) using the App after being presented with these Terms. Jawaez will keep a record of the date and version of the Terms accepted.

1.2 Age and Capacity. You must be at least [18] years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract, to register for or use the App.

1.3 One Account per Person. You may hold only one Jawaez account. Multiple, duplicate, or fraudulently created accounts may be merged, suspended, or terminated at Jawaez's discretion.

1.4 Accurate Information. You agree to provide true, current, and complete information when registering and to keep such information up to date.

2. THE APP AND HOW POINTS ARE EARNED

2.1 Description. The App allows Customers to submit proof of purchase ("Receipts") against reward offers ("Offers") made available by participating brands ("Brands") through Jawaez's business platform (the "Launchpad"). Offers are of two types: a "Buy Offer" (purchase of a specified quantity of a designated product) or a "Spend Offer" (spend of a specified minimum amount on a designated brand or product).

2.2 Fulfillment. An Offer is "Fulfilled" once you submit one or more Receipts that Jawaez validates as meeting the applicable Buy or Spend threshold for that Offer. Upon Fulfillment, Jawaez credits your account with the Points stated in the Offer.

2.3 Points and Conversion. Points earned may be exchanged for cash or other value credited to your Jawaez wallet, at the conversion rate published in the App (currently 1,000 Points = USD 1.00, or its LBP equivalent), as may be updated by Jawaez from time to time with reasonable notice.

2.4 No Guarantee of Offer Availability. Offers are configured and funded by Brands and may be limited, modified, paused, or withdrawn at any time, including where a Brand's wallet balance is depleted. Jawaez does not guarantee the continued availability of any specific Offer.

2.5 Account Audit. An account audit is performed each time you request a reward. Jawaez may request additional information or documentation to verify a Receipt or redemption before releasing any reward.

3. RECEIPT SUBMISSION AND PROGRAM RULES

By submitting a Receipt, you represent and warrant that it is genuine, unaltered, and reflects a purchase actually made by you. The following rules apply to all Receipt submissions and redemptions:

• Submitting tampered, fabricated, or screenshotted/re-photographed receipts (including a receipt displayed on another screen, such as a phone or computer) will result in immediate account suspension or termination.
• Scanning or submitting receipts for purchases you did not personally make is prohibited and will result in account suspension or termination.
• Wholesale receipts are not accepted and any Points obtained from them will be revoked.
• Abusing the referral program by referring inactive, fake, or otherwise ineligible accounts will result in immediate account suspension or termination.
• You may submit up to fifteen (15) successful Receipts within any rolling seven (7) day window.
• Receipts must be less than fourteen (14) days old at the time of submission to be accepted.
• You have three (3) days following a successful submission to request a correction (addition or edit of an item on that submission).
• Each Offer may be redeemed up to three (3) times using a single Receipt.
• The same Offer may be redeemed up to six (6) times per day; additional redemptions beyond this limit may be treated as abnormal activity and rejected.

Jawaez reserves the right to revoke any Receipt, reverse any Points, or suspend or terminate any account, at its sole discretion, where it determines that these rules or any other provision of these Terms has been violated.

4. POINTS: VALIDITY, EXPIRY AND REDEMPTION

4.1 Expiry. Points do not expire, provided that you log into your account at least once every ninety (90) days. Points on an account that has been inactive for more than ninety (90) consecutive days may expire or be forfeited.

4.2 Redemption. Points may be redeemed for cash or other value credited to your Jawaez wallet, subject to any minimum redemption thresholds, verification steps, or processing times displayed in the App.

4.3 No Cash Value Outside the App. Except as expressly provided in the App, Points have no monetary value outside the Jawaez program, are non-transferable between accounts, and may not be sold, bartered, or exchanged other than as permitted by Jawaez.

4.4 Reversal. Jawaez may reverse, cancel, or deduct Points that were credited in error, or as a result of a violation of these Terms, fraud, or a Brand's non-fulfillment.

5. ACCOUNT SUSPENSION AND TERMINATION

5.1 By Jawaez. Jawaez may suspend or terminate your account, with or without notice, if you breach these Terms, engage in fraudulent or abusive conduct (including any conduct described in Article 3), or if required to do so by law.

5.2 Effect of Termination. Upon termination for a violation of these Terms, any unredeemed Points may be forfeited at Jawaez's discretion. Upon termination for any other reason, Jawaez will act reasonably and in good faith regarding any unredeemed Point balance, subject to Article 4.

5.3 By You. You may close your account at any time by [contacting support at support@jawaez.app / using the in-App account deletion feature]. Closure of your account will be treated in the same manner as voluntary termination under Article 5.2.

6. INTELLECTUAL PROPERTY

6.1 The App, including its software, design, trademarks, logos, and content, is owned by or licensed to Jawaez and is protected by applicable intellectual property laws.

6.2 Jawaez grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial use, subject to these Terms.

6.3 You shall not copy, modify, reverse-engineer, decompile, scrape, or create derivative works from the App, except to the extent expressly permitted by applicable law.

7. DATA PROTECTION AND PRIVACY

7.1 Jawaez collects and processes personal data (including registration data and Receipt data) in accordance with its Privacy Policy [insert link] and applicable data protection laws in the Republic of Lebanon and any other applicable jurisdiction.

7.2 By using the App, you consent to the collection, use, and processing of your data as described in the Privacy Policy, including sharing limited data with participating Brands as necessary to validate and administer Offers.

7.3 Jawaez shall implement appropriate technical and organizational measures to safeguard your personal data and shall not use it for purposes outside the scope of the App and the Privacy Policy without your consent, except where required by law.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

8.1 The App is provided "as is" and "as available". Jawaez does not warrant that the App will be uninterrupted, error-free, or that any Offer will remain available.

8.2 To the fullest extent permitted by law, Jawaez shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with your use of the App.

8.3 To the fullest extent permitted by law, Jawaez's aggregate liability to you under these Terms shall not exceed [the total value of Points redeemed by you in the twelve (12) months preceding the claim / USD 120.

8.4 Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct, or any liability that cannot be excluded under applicable law.

9. AMENDMENTS TO THESE TERMS

Jawaez may update these Terms from time to time to reflect changes in its App, services, or applicable law. Material changes will be notified to you through the App or by e-mail, and will take effect [immediately upon posting / 1 day after notice]. Your continued use of the App after such changes take effect constitutes your acceptance of the updated Terms.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Lebanon.

10.2 Any dispute arising out of or in connection with these Terms shall first be addressed through Jawaez's customer support at support@jawaez.app. If the dispute is not resolved within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the competent courts of Beirut, Lebanon.

11. GENERAL PROVISIONS

11.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Jawaez regarding your use of the App.

11.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.3 No Waiver. Jawaez's failure to enforce any right under these Terms shall not constitute a waiver of that right.

11.4 Assignment. You may not assign or transfer your rights under these Terms without Jawaez's prior written consent. Jawaez may assign these Terms in connection with a merger, acquisition, or sale of assets.

12. ACCEPTANCE RECORD

By clicking "I Agree" / creating an account, you confirm that:

• You have read and understood these Terms of Use in full;
• You are at least 18 years old and have the legal capacity to accept these Terms; Users between the ages of 13 and 18 may only use the Services with the consent and supervision of a parent or legal guardian where required under applicable laws.
• You consent to the collection and use of your data as described in Article 7 and the Privacy Policy; and
• You agree to comply with the Program Rules set out in Article 3.
